1. Introduction

Welcome to Mr. Woodini (“we,” “us,” or “our”). By accessing or using our website at www.mrwoodini.com (the “Site” or “Service”), you agree to be bound by these Terms of Service (“Terms”). Please read them carefully before making any purchase or using any feature of the Site.

1.1 The Site is an international e-commerce platform operated by Woodini, Business Registration No. 300554797, through which you may browse and purchase products including, but not limited to, handcrafted wooden sunglasses and gemstone accessories.

1.2 Use of the Site is permitted only for lawful purposes and only by individuals who are legally capable of entering into binding contracts, or by authorized legal entities.

1.3 These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mr. Woodini regarding your use of the Site. In the event of any conflict between the Site’s content and these Terms, these Terms shall prevail. This document is a direct translation of the original Hebrew Terms of Service; in the event of any discrepancy or conflict between this English version and the Hebrew version, the Hebrew version shall be considered the binding and authoritative text.

1.4 We reserve the right to update or modify these Terms at any time at our sole discretion without prior notice. The version published on the Site at the time of your visit shall be the binding version. Continued use of the Site following any modification constitutes your acceptance of the updated Terms.

1.5 We may suspend or terminate your access to the Site at any time if you violate any of these Terms.

1.6 The Service is generally available 24/7. However, we do not guarantee uninterrupted availability. Downtime may occur due to maintenance, technical issues, or circumstances beyond our control, and we shall not be liable for any resulting inconvenience or loss.

2. Definitions

“Content” means the Site, product information, online pages, classification, arrangement, and presentation of information, as well as newsletters and communications.

“Service” means the Site, including related instructions, products, support services, and any modifications or updates made at our discretion.

“You” / “User” means any individual or authorized entity accessing or using the Site, including employees, consultants, contractors, agents, or third parties you transact with through the Site.

“Products” means all items listed on the Site that are available for purchase.

“Your Data” means any electronic data or information submitted by you or collected by us during your use of the Site.

“Site Errors” means any disruption in Site availability caused by circumstances outside our direct control.

3. Eligibility & Account Registration

3.1 To place an order, you may register an account by completing our registration form or by logging in via your Facebook or Google account. Your account is personal and non-transferable.

3.2 You are responsible for maintaining the confidentiality of your username and password and for all activity that occurs under your account. We are not liable for unauthorized access resulting from your failure to safeguard your credentials.

3.3 You must be at least 18 years of age to make a purchase on the Site.

4. Products & Pricing

4.1 We offer various products as listed on the Site. We reserve the right to add, remove, or modify products at any time without prior notice.

4.2 All prices are displayed on the product page. Prices on the international site do not include applicable customs duties, import taxes, or local VAT, which are the buyer’s sole responsibility. The price applicable to your order is the price displayed at the time you confirm your order, not the time you add items to your cart.

4.3 We make reasonable efforts to ensure product descriptions, images, and specifications are accurate. However, we cannot guarantee that product images displayed on your screen accurately reflect the true appearance of a product due to variations in screen settings, resolution, and color calibration. As each pair of wooden sunglasses features a unique wood grain, the exact texture will differ from item to item. All product images are for illustrative purposes only unless otherwise stated on the product page.

4.4 If a product you have ordered is out of stock, we will notify you within a reasonable time and offer either a full refund or an alternative product.

4.5 We reserve the right to cancel any order, including confirmed orders, in the following circumstances: (a) a material error in product description or pricing; (b) suspected fraud or breach of these Terms; (c) inability to process payment. If a cancellation occurs after payment, a full refund will be issued promptly.

5. Payment

5.1 We accept payment by major credit/debit cards and PayPal. We may add or remove payment methods at our discretion without notice.

5.2 PayPal and other third-party payment processors operate independently of Mr. Woodini. We are not responsible for any technical failures, security issues, or errors arising from third-party payment processing.

5.3 All transactions are processed securely. We do not store full payment card details on our servers.

5.4 By placing an order, you represent and warrant that you are authorized to use the payment method provided.

6. Shipping & Delivery

6.1 We ship internationally. Delivery is made to the shipping address provided at checkout. It is your responsibility to ensure the accuracy of this address. We are not liable for non-delivery caused by an incorrect address.

6.2 Estimated shipping times are provided as guidance only and are not guaranteed. Delivery may be affected by factors beyond our control, including carrier delays, customs processing, public holidays, weather events, natural disasters, strikes, or force majeure.

6.3 Shipping is carried out by third-party couriers. We are not responsible for delays, damage, or loss caused by the courier, except where caused by our own negligence in packaging or dispatch.

6.4 If a delivery attempt is unsuccessful because you were unavailable at the delivery address, you may be required to pay re-delivery fees.

6.5 If, with your explicit permission, the courier leaves your order at an unattended location, we bear no responsibility for any subsequent loss, theft, damage, or discrepancy.

6.6 Upon receipt of your order, please inspect it promptly. If there is a discrepancy between your order and what was delivered, you must notify us within one (1) business day of receipt.

7. Returns, Cancellations & Refunds

7.1 Our return and refund policy is designed to be fair and transparent, in compliance with applicable consumer protection laws in the relevant jurisdiction.

7.2 Order Cancellation Before Dispatch: You may cancel your order at any time before it has been dispatched by contacting us at info@www.mrwoodini.com. A full refund will be issued, subject to the cancellation fee terms in section 7.3 below.

7.6 Refunds will be processed within fourteen (14) days of us receiving and inspecting the returned item, to the original payment method. Cancellation fees as described in section 7.3 may apply, except where the return is due to a defect or material mismatch between the product received and the product described on the Site.

7.8 Defective or Misdescribed Products: If you receive a product that is defective or materially different from its description, please contact us at info@www.mrwoodini.com within one (1) business day of receipt. We will arrange a return at our cost and issue either a full refund or a replacement, at your preference. No cancellation fee will apply.

8. Product Warranty

8.1 All products carry a twelve (12)-month warranty from the date of purchase against manufacturing defects in materials and workmanship, subject to the conditions below.

8.2 The warranty covers: manufacturing defects in materials and workmanship.

8.3 The warranty does NOT cover:

• Scratches, chips, or abrasions to lenses
• Damage caused by accidents, misuse, or neglect
• Loss or theft
• Breakage due to careless handling or unreasonable use
• Normal wear and tear

8.4 Warranty claims are subject to our inspection and approval. Where a warranty claim is valid, we may at our discretion repair, replace, or issue a credit for the product.

9. International Orders – Important Notice

9.1 By placing an international order, you acknowledge and agree that:

• You are responsible for ensuring that the products you order are lawful to import into your country
• All import duties, taxes, VAT, customs fees, and brokerage fees are your sole responsibility
• We are not responsible for delays in customs clearance
• We are not responsible for packages seized or delayed by customs authorities

9.2 Refusal of Delivery: If you refuse delivery or fail to pay applicable import duties and the package is returned to us, we reserve the right to deduct round-trip shipping costs and any duties/fees incurred from any refund issued.

10. Israeli Consumer Protection Law

10.1 This section applies to customers making purchases through www.www.mrwoodini.com or any other Israeli-facing sales channel operated by Mr. Woodini, and is governed by the Israeli Consumer Protection Law, 5741-1981, and related regulations.

10.2 Right of Cancellation: Under Israeli law, you have the right to cancel a transaction within fourteen (14) business days of receiving the product, or within fourteen (14) business days of receiving the transaction documents, whichever is later.

10.3 Cancellation Fee: In the event of cancellation under this section, we reserve the right to charge a cancellation fee of up to 5% of the transaction value, at our sole discretion.

10.4 Return Shipping: For local delivery customers cancelling under this section, return shipping will be arranged at no charge to you.

10.5 Defective Products: If a product is found to be defective, you are entitled to a repair, replacement, or full refund in accordance with the Israeli Consumer Protection Law and the Defective Products Liability Law, 5740-1980. No cancellation fee will apply.

10.6 Product Liability: In accordance with the Defective Products Liability Law, 5740-1980, the manufacturer and/or importer bears primary liability for defective products. Where applicable, warranty and service certificate terms will be provided with the product.

10.7 Dispute Resolution: Israeli customers may address consumer complaints to the Consumer Protection and Fair Trade Authority (Israel) or to the relevant consumer tribunal. We encourage customers to contact us first at info@www.mrwoodini.com to resolve any issue directly.

10.8 Jurisdiction: For Israeli customers, any dispute arising in connection with a local delivery transaction shall be subject to the exclusive jurisdiction of the competent courts in Haifa, Israel.

11. User Conduct

10.1 By using this Site, you agree not to:

• Post or transmit any unlawful, harmful, defamatory, obscene, or otherwise objectionable content
• Infringe the intellectual property rights of any third party
• Use false identity information or impersonate any person
• Upload or distribute malware, viruses, or any harmful code
• Interfere with or disrupt the security or integrity of the Site
• Harvest or collect user data without authorization

10.2 We reserve the right, at our sole discretion, to remove any user-generated content and to suspend or terminate any account without prior notice for violation of these Terms.

12. Intellectual Property

11.1 All intellectual property rights in and to the Site, including the design, layout, text, graphics, logos, images, product names, and software, are the exclusive property of Mr. Woodini or its licensors.

11.2 Nothing in these Terms grants you any license or right to use, copy, reproduce, modify, distribute, or create derivative works from any content on the Site without our prior written consent.

11.3 If you believe that content on the Site infringes your intellectual property rights, please contact us at info@www.mrwoodini.com with full details of your claim.

11.4 By submitting content to us (e.g., reviews or photos), you grant us a non-exclusive, worldwide, royalty-free license to use, display, and reproduce that content in connection with the Site and our marketing activities.

13. Privacy & Data Protection

12.2 By using the Site, you consent to our collection and processing of your personal data as described in the Privacy Policy.

15. Limitation of Liability

14.1 The Site and all content are provided on an “AS IS” and “AS AVAILABLE” basis without any warranties of any kind, express or implied.

14.2 To the maximum extent permitted by applicable law, Mr. Woodini, its directors, employees, and agents shall not be liable for:

• Any indirect, incidental, consequential, special, or punitive damages
• Loss of profits, revenue, data, or goodwill
• Unauthorized access to or alteration of your data
• Delays or failures caused by third parties or force majeure events

14.3 Where liability cannot be excluded by law, our total liability to you for any claim shall not exceed the total amount paid by you for the order giving rise to the claim.

14.4 Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above may not apply to you.

16. Indemnification

You agree to indemnify, defend, and hold harmless Mr. Woodini and its officers, directors, shareholders, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit or post on the Site.

17. Third-Party Links & Services

16.1 The Site may contain links to third-party websites. These links are provided for convenience only. We do not endorse, control, or assume responsibility for the content, privacy practices, or terms of any third-party website.

16.2 Your use of third-party sites is at your own risk and subject to those sites’ terms and conditions.

18. Term & Termination

17.1 These Terms become effective the first time you access or use the Site and remain in effect until terminated.

17.2 We may terminate or suspend your access to the Site at any time, with or without notice, if you breach these Terms, if required by law, or if it becomes commercially unviable to continue offering the Service.

17.3 Upon termination, the sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive.

19. Governing Law & Dispute Resolution

18.1 These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.

18.2 EU Users: You may also be entitled to use the EU Online Dispute Resolution platform for disputes arising from online purchases at ec.europa.eu/consumers/odr.

18.3 US Users: Any dispute arising from these Terms or your use of the Site shall be resolved by binding arbitration in accordance with applicable arbitration rules, except where prohibited by local law.

18.4 We will attempt to resolve any disputes amicably before initiating formal proceedings. Please reach out to us at info@www.mrwoodini.com in the first instance.

18.5 Regardless of governing law, consumer protection rights provided by applicable mandatory laws in your country of residence shall not be overridden by these Terms.

20. Notices

All legal notices to us should be sent to info@www.mrwoodini.com. Notices sent by email will be deemed received within 4 hours of transmission on a business day (before 12:00 noon local time), or the next business day if sent after that time. Notices sent by registered mail will be deemed received within 3 business days.

21. General Provisions

21.1 Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Mr. Woodini regarding the Site and supersede all prior agreements.

21.2 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

21.3 Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

21.4 Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.

21.5 Force Majeure: We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, strikes, government actions, or infrastructure failures.

21.6 Language: These Terms are published in English as a direct translation of the original Hebrew Terms of Service. In the event of any discrepancy or conflict between this English version and the Hebrew version, the Hebrew version shall prevail.
